1. Introduction

Welcome to Rudranarayana Trade Solutions Pvt Ltd (“Company,” “we,” “us,” or “our”), operating under the trade name “JITSY”. These Terms and Conditions (“Terms”) govern your access to and use of our website, mobile application, and services (collectively, the “Services”) and supply of goods. By accessing or using our Services, ~you agree~ or by placing an order, you agree to be bound by these Terms. If you do not agree, you must refrain from using our Services or placing order.

2. Eligibility

Our Services are exclusively available to GST-registered B2B users and legal entities in India. By using our Services, you confirm that you:

  • Are authorized to enter into legally binding agreements on behalf of your business / organisation.
  • Provide accurate and complete registration information, including a valid GSTIN and PAN.
  • Represent that you are purchasing goods for commercial use and not for personal consumption.

3. Use of Services You agree to:

  • Use our Services for lawful purposes only.
  • Provide accurate, complete, and current information.
  • Not engage in any fraudulent or deceptive practices.
  • Maintain the confidentiality of your account credentials. We reserve the right to suspend or terminate access to our Services if you violate these Terms at our sole discretion without prior notice for any breach of these Terms.

4. Orders and Delivery, and Force Majeure

  • All orders placed through our platform are subject to acceptance and availability.
  • Once an order is confirmed, it cannot be canceled by the User unless explicitly agreed by us in writing.
  • Delivery timelines provided are estimates and may vary due to unforeseen circumstances. Time is not the essence regarding delivery dates.
  • Prices quoted are exclusive of GST and other applicable taxes unless stated otherwise.
  • Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

5. Inspection and Acceptance of Goods

  • It is your responsibility to inspect the goods at the time of delivery at the delivery vehicle’s tailboard/nozzle.
  • Any discrepancies, damages, shortages, or quality issues must be reported immediately before unloading the goods.
  • Once goods are unloaded from the delivery vehicle, they are deemed to have been irrevocably accepted, and no returns or claims will be entertained

6. Payment Terms

  • Payments must be made in accordance with the agreed terms at the time of order confirmation.
  • Eligible customers may avail of financing options provided by third-party financial institutions, subject to approval.
  • Late payments may shall attract penalties or interest at the rate of 24% per annum or the maximum allowed by law, whichever is lower, as per applicable laws.

7. Return and Refund Policy

  • No returns or refunds will be accepted once goods have been unloaded and deemed accepted.
  • Any disputes must be reported before unloading, accompanied by an immediate email to us with photographic evidence, a copy of the weighment slip (if applicable), and the delivery person’s confirmation or supporting documentation.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for:

  • Any indirect, incidental, special, or consequential damages arising from the use of our Services.
  • Losses resulting from delays, damages, or defects in goods, unless reported as per the inspection clause.
  • Our total liability for any claim shall not exceed 1% of the amount paid by you for the specific order giving rise to the claim.

9. Intellectual Property

All intellectual property related to our Services, including but not limited to trademarks, logos, software code, and content, is owned by us or licensed to us. You may not reproduce, modify, or distribute any content without our prior written consent.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of our Services, misuse of the platform, or violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, with exclusive jurisdiction in Delhi. Any disputes arising from these Terms shall be resolved amicably. If not resolved within 30 days, disputes will be subject to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the venue in Delhi. The language of arbitration shall be English.

12. Changes to Terms

We may update these Terms from time to time by posting the updated version on our platform. Your continued use of our Services after changes are made constitutes deemed acceptance of the updated Terms.
